1. Introduction and Acceptance

Welcome to Osier AI. These Terms of Service ("Terms") govern your access to and use of our website, products, and services, including our Deep Discovery Report and Founder Path programme (collectively, "Services") and any other products we may subsequently offer. We are Intuitive AI Ltd, company number 13105928, trading as Osier AI ("Osier AI").

By accessing our website, creating an account, or purchasing any of our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

You must be at least 18 years old to use our Services or make purchases.

2. Description of Services

Osier AI provides AI-powered business validation and planning tools for founders. Our Services include the Deep Discovery Report, Founder Path, consultancy services, bespoke automation solutions, and any other products or services we may offer from time to time.

Important: Our Services provide guidance and information only. They do not constitute professional business, legal, financial, or investment advice. You should consult appropriate professionals before making significant business decisions.

3. How Our Reports Work

Our reports are generated using large language model (LLM) technology. When you purchase a report, you are paying for:

• Use of our proprietary framework and methodology

• The speed and convenience of AI-assisted analysis

• The structured output format we have developed

You are not paying for guaranteed accuracy of the content itself. LLM outputs can contain errors, inaccuracies, or information that may not be suitable for your specific circumstances. Osier AI does not guarantee, warrant, or take responsibility for the accuracy, completeness, or suitability of any content generated within our reports.

You acknowledge that AI-generated content should be treated as a starting point for your own research and decision-making, not as definitive guidance.

4. Permitted Use and Restrictions

4.1 Permitted Use

Your purchase grants you a personal, non-transferable licence to use the Services and any reports generated for:

• Your own business planning and validation purposes

• Businesses that you own, co-own, or are directly involved in founding

  
  

4.2 Delivery

We aim to deliver reports within 48 hours of receiving your completed questionnaire and payment. However, this is an estimate only and not a guaranteed delivery time. Your report will be sent to the email address you provide on the questionnaire, so please ensure this is accurate. If you have not received your report, please check your spam or junk folder before contacting us. Occasionally, technical issues, system outages, or other circumstances beyond our control may cause delays. We will notify you if we anticipate any significant delay to your order. Delivery timeframes do not constitute a contractual commitment and no claim can be made for delays.

4.3 Restrictions

You agree NOT to:

• Reverse engineer our Services, methodology, framework, or prompts, or attempt to recreate, replicate, or derive the underlying systems used to generate our reports

• Redistribute or resell any reports, materials, or outputs from our Services or pass them off as your own

• Use our Services on behalf of third parties or to generate reports for businesses you do not own or have a direct founding interest in

• Share access to your account or purchased materials with others

• Use our Services for any unlawful purpose or in violation of any applicable laws

• Attempt to extract our prompts, methodologies, or proprietary processes through any means

Any suspected or actual breach of these restrictions may result in immediate termination of your access without refund.

5. Payment Terms

5.1 Pricing

All prices are displayed in GBP and include VAT where applicable. We reserve the right to change our pricing at any time, though any price changes will not affect purchases already completed.

Purchased reports and automations are valid for 12 months from the date of purchase. Your right to access your report or automation expires at midnight on the day before the first anniversary of your purchase. For example, a report purchased on 1 January 2026 would expire at midnight on 31 December 2026.

Reports and automations are personal to you and cannot be transferred to any other person or entity unless we have agreed otherwise in writing.

Promotional pricing (including early bird offers) is available for limited periods only and may be withdrawn at our discretion without notice.

5.2 Payment Processing

Payments are processed through our third-party payment provider, PayPal. By making a purchase, you also agree to their terms of service.

5.3 Non-Payment

If payment is not received in full, or if a payment fails, is declined, or is reversed:

• Any automated processes that have commenced in connection with your order may be stopped immediately without prior notice

• You will not be entitled to receive any Services, reports, or materials

• You will have no claim against Osier AI for any loss, inconvenience, or damage arising from the stopping of such processes

• We reserve the right to suspend or terminate your account

  
  

6. Refund Policy

We want you to be happy with your purchase. If you are not satisfied with your Service for any reason, you may request a full refund within 30 days of your purchase date.

To request a refund, please contact us at hello@osierai.co.uk with your order details and reason for the refund request.

Refunds will be processed to your original payment method within 14 days of approval.

Please note: Requesting a refund after receiving a report does not entitle you to retain or use that report. Upon refund, your licence to use any materials provided is immediately revoked and all our contractual obligations to you under these Terms are severed.

7. Your Statutory Rights

Nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015 or any other legislation that cannot be excluded or limited by contract. Under the Consumer Rights Act 2015, digital content must be of satisfactory quality, fit for a particular purpose, and as described. If our Services do not meet these standards, you may be entitled to a repair, replacement, or refund. For more information about your statutory rights, please visit www.citizensadvice.org.uk.

8. Intellectual Property

All content, materials, methodologies, frameworks, branding, and other intellectual property associated with Osier AI and our Services remain our exclusive property or that of our licensor.

Your purchase does not transfer any intellectual property rights to you beyond the limited licence described in Section 4.1.

9. Your Responsibilities

You agree to:

• Provide accurate and complete information when using our Services

• Keep your account credentials secure

• Notify us promptly of any unauthorised use of your account

• Use our Services in compliance with all applicable laws

You are solely responsible for any decisions you make based on our reports or Services.

10. Disclaimers

To the extent permitted by law, our Services are provided "as is" and "as available."

We do not warrant that:

• Our Services will meet your specific requirements

• Our Services will be uninterrupted, timely, secure, or error-free

• The results or information obtained from our Services will be accurate, reliable, or suitable for any particular purpose

• Any errors in our Services will be corrected

These disclaimers do not affect your statutory rights as a consumer (see Section 7).

11. Limitation of Liability

To the maximum extent permitted by law, Osier AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business, goodwill, data, or other intangible losses, resulting from:

• Your use of or inability to use our Services

• Any decisions made or actions taken based on our reports or Services

• Unauthorised access to or alteration of your data

• Any other matter relating to our Services

Our total liability to you for any claims arising from or related to these Terms or our Services shall not exceed the amount you paid to us in the 12 months preceding the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law. Nothing in these Terms affects your statutory rights.

12. Termination

We may terminate or suspend your access to our Services immediately, without prior notice, if you breach or we have reasonable grounds to suspect you intend to breach these Terms.

Upon termination, your right to use our Services ceases immediately. Sections of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, limitations of liability, and any accrued rights or obligations.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting the updated Terms on our website with a new "Last updated" date.

Your continued use of our Services after any changes constitutes acceptance of the new Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of England and Wales.

Any disputes arising from these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Osier AI regarding our Services and supersede any prior agreements.
